Strategy

We seek to acquire structurally sound companies that will benefit from long-term ownership, development, resources, skills, and momentum. Our focus is on defensive, stable businesses where we can apply our expertise to drive long-term performance. We aim to deliver outstanding customer service, employee performance, and investor returns.

Approach

As a privately owned acquisition company, we take a selective, quality-focused approach rather than targeting quantity. Our goal is to acquire a small number of well-aligned businesses that will benefit from our engaged form of private ownership.

Funding

We have established discretionary financing and legal facilities with trusted transaction partners. This enables us to move quickly when there is alignment between us as buyer and seller. We understand that timely completion can be important emotionally and financially. Hence, as a small company, we have organised our resources to execute deals efficiently and without unnecessary bureaucracy when the vision and fit are right.

Acquisition criteria

If your business meets the following criteria, and you are genuinely considering selling your company, then we’d like to hear from you. In addition to outright purchase, we will also consider selective turnaround situations, investing our resources and expertise in return for equity and profit share arrangements.

T/O between £1M & £20M

We are looking for UK operating and registered businesses, with an average annual turnover of between £1M and £20M, during at least three of the last five years.

South of England location

We are interested in purchasing businesses located in the South of England, with a specific priority for businesses located in the Counties of Surrey, Hampshire, Berkshire, Oxfordshire, Wiltshire, Sussex & Dorset.

Profit history

A track record of audited profits for at least three of the last five years. In exceptional circumstances, we may consider purchasing distressed businesses, where recent profitability has been impacted by events, such as the COVID-19 pandemic and energy crisis etc.

Ownership & control

Maximum of three UK resident shareholders, with unencumbered control and sale of the business.  We are also open to acquiring subsidiaries of publicly held companies, where the parent company wishes to divest.

Stable workforce

Experienced and stable workforce committed to remaining and developing the business.  We will appoint an interim or permanent team, to resolve succession or skills gap issues, for outgoing owner/operator shareholders.

Committed exit

The outgoing shareholders must be vested in an exit strategy that protects the goodwill of the business, employees, and customers. This may involve a managed exit process aligned to a combination of up-front and deferred consideration models, such as staged payments or earn out structures.
